If a Master Subscription Agreement or similar Services Agreement is mutually signed by you and Aureo, that agreement shall govern your use of the Services. Please review the following Terms of Use carefully. By accessing or using the Services, you signify your agreement to these Terms of Use and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

About the Services
Aureo provides institutional financial clients with AI-driven reconciliation solutions to automate and optimize post-trade workflows. The Services utilize proprietary AI and large language models (LLMs) to handle trade reconciliation, data ingestion, discrepancy identification, financial research, and reporting across various asset classes. Users must only use the Services in compliance with these Terms and applicable laws and regulations.

Registration & Permitted Users
Access to Aureo’s Services requires the execution of a contracted Service Agreement specific to each institutional client. Clients must provide accurate and current information when registering an account ("Account") and maintain the confidentiality of their Account credentials. You are responsible for all activities under your Account and agree to notify Aureo immediately of any unauthorized access or security breach. Aureo reserves the right to disable any Account credentials at its discretion if these Terms are violated.

We do not knowingly collect personal information from individuals under 18 years of age. Users under the age of 18 must not provide any personal information without parental or guardian consent.

Online Content Disclaimer
Aureo does not guarantee the accuracy, completeness, or usefulness of any third-party information or content available through the Services. Under no circumstances will Aureo be responsible or liable for any loss or damage resulting from reliance on information or content provided by third parties. Users should independently verify critical information obtained through the Services.

Use Restrictions
Your permission to use the Services is conditioned on the following:

You agree not to:

• Post any information that is abusive, threatening, defamatory, or unlawful.

• Use the Services to violate any laws or regulations.

• Interfere with the proper functioning of the Services or attempt unauthorized access.

• Make any automated use of the Services or attempt to scrape, crawl, or harvest data from the Services.

• Disclose any proprietary, confidential, or personally identifiable information (PII) without authorization.

Monitoring and Enforcement; Termination
Aureo reserves the right to monitor use of the Services, remove inappropriate content, and suspend or terminate access at its sole discretion. Aureo will cooperate fully with law enforcement authorities regarding investigations into unlawful use of the Services.

Intellectual Property
Aureo retains all rights, title, and interest in its proprietary algorithms, models, software, and systems ("Aureo IP"). You may not modify, distribute, transmit, reverse-engineer, or create derivative works from Aureo IP. Users retain ownership of their uploaded data and generated reports.

User Content & License
Users are solely responsible for all information and data ("User Content") uploaded or processed through the Services. Aureo is not liable for User Content but reserves the right to remove any User Content violating these Terms.

Fees and Charges
Fees for Services are detailed in your specific Service Agreement. Fees are payable in USD as outlined therein, and no refunds will be provided for services delivered. Users are responsible for any applicable taxes or governmental charges related to the Services.

Warranty Disclaimer
The Services are provided "as is" and "as available" without warranty of any kind. Aureo does not warrant that the Services will be error-free, uninterrupted, or free from harmful components.

Limitation of Damages
Aureo shall not be liable for indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Services, even if advised of such possibility. Liability limitations will be detailed further in individual Service Agreements.

Indemnification
You agree to indemnify and hold harmless Aureo, its affiliates, directors, employees, and licensors from claims or damages arising from your use of the Services or violation of these Terms.

Modification of Terms
Aureo reserves the right to modify these Terms at any time. Changes become effective immediately upon posting. Continued use of the Services signifies acceptance of updated Terms.

Privacy Policy
Your use of the Services signifies agreement to Aureo’s Privacy Policy, describing how your data is collected, used, and shared.

General Terms
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any cause of action must commence within one year after the accrual date. If any part of these Terms is unenforceable, the remainder remains in full effect.

YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. THESE TERMS AND THE PRIVACY POLICY CONSTITUTE THE COMPLETE AND EXCLUSIVE AGREEMENT BETWEEN YOU AND AUREO AI.
